GENERAL
Terms and Conditions
1. Definitions
Capitalized terms are used as defined in this Agreement:
AED: UAE Dirhams.
Additional Charges: Charges incurred by the Customer for carrying out any Additional Services not included in the Service Charge.
Additional Services: Extra or additional services required by the Customer that are not covered within the Services and will be charged separately.
Applicable Law(s): Includes (i) all relevant legislation, rules, and regulations within the UAE; and (ii) requirements from local, regional, and governmental authorities.
Commencement Date: The date when the Services commence.
Employee: An individual employed by DKTS to perform the Services for the Customer.
Premises: The location where the Services are to be performed.
Services: The Services provided by DKTS as purchased by the Customer.
Service Charge: DKTS fees and charges based on the size of the Premises.
Term: The period from the Commencement Date until the completion of the Services.
UAE: United Arab Emirates.
2. Commencement and Provision of Services
2.1 This Agreement takes effect on the Commencement Date and continues for the Term unless terminated as per Clause 10.
2.2 Services can be purchased via www.Manandvan.ae and will be delivered to the specified address.
2.3 Users must be over 18 years old to purchase the Services.
3. Payment of Service Charges
3.1 The Customer shall pay the Service Charge via:
- Debit or credit card
- Bank transfer
- Cheque made payable to ‘DKTS’
3.2 Payments for maintenance packages may be processed as periodic deductions from the Customer’s debit/credit card until cancellation.
3.3 Any bounced payment may result in service suspension until the payment clears.
3.4 Customers will receive confirmation of online purchases via email.
3.5 Multiple service orders may result in multiple bank transactions.
3.6 The Customer shall pay the Service Charge in full, without withholding payment for any reason.
3.7 If DKTS incurs additional costs due to changes in laws or regulations, the Customer shall reimburse such costs.
3.8 VAT or other applicable taxes will be added to invoices where applicable.
3.9 A late payment fee of 2% per month may apply to overdue payments.
3.10 DKTS reserves the right to adjust Service Charges if the Premises size or required resources are incorrectly estimated.
3.11 The cardholder must retain copies of transaction receipts and DKTS terms and conditions.
3.12 The Customer is responsible for maintaining their online account confidentiality.
3.13 Incorrect bank/credit card payments will not be reimbursed.
4. DKTS Responsibilities
4.1 DKTS will provide required consumables and spare parts, chargeable to the Customer unless specified otherwise.
4.2 Services may be rescheduled at no cost due to adverse weather conditions.
4.3 DKTS will strive to meet response times for emergency and non-emergency callouts but will not be responsible for damages occurring before arrival.
5. Customer’s Responsibilities
5.1 The Customer must ensure DKTS Employees have unimpeded access to the Premises and obtain necessary permits.
5.2 If access to the asset requires modification (e.g., moving ceiling tiles), the Customer must grant such access.
5.3 The Customer must provide necessary amenities such as electricity and water for service completion.
5.4 The Customer should be present during service completion.
5.5 Additional Services will be charged separately, and authorization will be sought before proceeding.
5.6 The Customer is responsible for ensuring adequate property insurance.
6. Warranties and Representations
6.1 DKTS provides a 30-day workmanship warranty on maintenance services.
6.2 DKTS provides a 30-day workmanship warranty on installed spare parts, subject to supplier terms.
6.3 DKTS represents that its execution of this Agreement does not violate any legal or regulatory provisions.
6.4 DKTS will not trade with or provide services to OFAC-sanctioned countries.
7. Indemnification
7.1 The Customer is responsible for Employee safety at the Premises and any resulting damages, losses, or liabilities.
7.2 The Customer shall indemnify DKTS against all claims, losses, and expenses arising due to their actions or omissions.
8. Suspension and Termination
8.1 DKTS may suspend or terminate the Agreement if the Customer fails to make payments or if service continuation is unsafe.
8.2 Either Party may terminate the Agreement with 60 days’ written notice. If the Customer opts to discontinue Services before the end of the notice period, two monthly payments or the full quarterly period fee will be charged.
8.3 Refunds for unprovided Services are at DKTS’s discretion and exclude material costs.
8.4 Termination does not affect accrued rights or liabilities of either Party.
9. Cancellation of Services
9.1 If a Service appointment is canceled less than 24 hours before the scheduled time, a minimum charge of AED 150 applies.
9.2 Customers on maintenance contracts must confirm scheduled services. Failure to confirm may result in service forfeiture without a refund.
10. Property Systems
10.1 If property systems are inadequate, DKTS will provide a quote for corrective maintenance, chargeable separately.
10.2 DKTS is not responsible for damages arising from deficient property systems.
11. Excessive Routine Callout Consumption
11.1 If routine callouts exceed 15 for an apartment or 35 for a villa, additional callouts will be charged at AED 225 per visit for 2 hours, with additional hours at AED 100 per hour.
12. Governing Law
This Agreement shall be governed by the laws of Dubai and the Federal laws of the UAE.
13. Dispute Resolution
13.1 Disputes shall be referred to the Dubai Court for resolution under UAE law.
14. General
14.1 This Agreement constitutes the entire understanding between the Parties.
14.2 DKTS may subcontract Services at its discretion.
15. Terms for Annual Maintenance Package
Response times are subject to traffic conditions.
Callouts exceeding the contract limit are chargeable at AED 225 per visit.
